Commercial Transactions Seminar*
Description:
In this seminar, students will complete one or more hypothetical commercial transactions. Students will conduct due diligence, draft and negotiate documents, and close transactions. Substantive principles of law will be combined with practical and strategic considerations in the context of realistic client case files. The seminar is designed to provide a bridge between commercial law theory and practice.
The seminar will be graded on the basis of in-class exercises and a number of short written projects throughout the term. Writing for this seminar will satisfy the "B" writing requirement.
Students are advised to take this seminar only if they have taken, or are scheduled to take simultaneously, at least one related course. Related courses include Bankruptcy & Debtor/Creditor, Commercial Law: Sales, Commercial Law: Payments (no longer offered), Secured Transactions, or Property Transactions. *Offered every other year
