Description: Nonprofit organizations play an important role in American society, and present a range of unique legal issues. This course will examine state law governing nonprofit organizations, federal tax law governing nonprofit (“tax exempt”) organizations, and important topical matters such as constitutional, ethical, and governance issues of particular relevance to nonprofits. The course will address both the theoretical underpinnings of state nonprofit and federal tax law and the practical aspects of representing and advising nonprofit organizations.

Grading will be based on class participation and a final exam.
